AI Fellowship Program: Student Enrollment

Welcome to the AI Fellowship Program (the “Program”), an AI initiative presented by Fusemachines Inc. (“Fusemachines”). It is important that you carefully read through these Terms and Conditions (“Terms”) before accessing our site, the Fuse Classroom Platform (the “Platform”) and Services (as defined herein). These Terms become effective upon your enrollment in our program and constitute a binding agreement between Fusemachines and you (“Student/User”). By accessing or using our services available in the Platform (the “Services”), you agree to be bound by these Terms. Disagreement with these Terms will prohibit your access to the Services. You are responsible for ensuring you have all necessary phone, computer hardware, other equipment, and internet or wireless services to access and use our Services.

  1. Access
    Your access to our Services depends on the duration of the course program you select. Fusemachines reserves the right to modify, suspend or terminate access to the Services at any time and for any reason without notice, including the right to require you to change your login identification code or password. Fusemachines also reserves the right to delete any and all Content associated with your account and any other Content you have in our System (“User Content”).
  2. Intellectual Property Rights
    All the resources provided and the Intellectual Property Rights therein (as defined below), including program name, course materials, program structure, provider name, shall remain the exclusive property of Fusemachines, its direct or indirect subsidiaries, affiliates, licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
  3. Term of Use
    Permissions and restrictions
    • Use of the Platform:
      • You may only make noncommercial use of the Content that is posted, generated, provided or otherwise made available through the Platform or the Services (including, without limitation, reading materials, quizzes, assignments, cases studies and projects) and any other material or form of information that is part of the Program or appears on, or forms part of, the Platform (“Fuse Content”).
      • You hereby agree to comply with Fusemachines’ acceptable use policy set forth in Exhibit A attached hereto.
      • You may not make false representations, disclose or share any Confidential Information (as defined herein), submit corrupted data, or disclose your credentials to others for accessing resources; if there is an issue with a temporary password or signing in, you must contact customer support immediately. Sharing login ids and passwords constitutes violation of these Terms and will result in immediate suspension or termination of your access to the Services.
    • Term and Termination
      • Subject to the other provisions of this Section 3(B), The use of Platform and access to resources shall be available for the duration of one (1) year from the commencement date.
      • Fusemachines may, at its sole discretion, terminate or temporarily suspend the User’s use of the Platform and access to resources without notice if the User breaches these Terms or if we believe in our reasonable discretion that your use of the Platform is unsuitable in any way.
  4. Withdrawal and Dropouts
    • Withdrawal/Dropout:
      • If a Student withdraws from the Program, the Student is required to immediately inform our team at aifellowship@fusemachines.com about the withdrawal.
    • Procedure:
      • Fusemachines will send a formal email to the Students that have withdrawn or dropped out, following which all the access to the Platform shall be revoked.
  5. System Rules
    You agree to adhere to specific rules that are important for the enrollment in the Programs.
    • The Fuse Content should not be downloaded or screenshots taken and shared with any individual or entity.
    • Students must treat instructors and mentors with respect and courtesy.
    • Failure to comply with these Terms may result in disciplinary action being taken by the Fusemachines.
    • Fusemachines reserves the right to investigate, take legal action or any other action it deems appropriate, or terminate your account if Fusemachines, in its sole discretion, believes you have misused the Program, Platform or Services, or have behaved in any way that Fusemachines regards as inappropriate, unlawful, or illegal.
  6. Privacy Considerations
    Fusemachines may review or monitor your User Content as necessary. Fusemachines also reserves the right to copy and distribute to third parties any information associated with your activities from use of the Platform or the Services.
  7. Fusemachines Rights
    You acknowledge and agree that:
    • Fusemachines is the sole and exclusive owner of all rights (including, Intellectual Property Rights), title, and interest in and to the Program. the Platform, the Services, Fuse Content, the Fusemachines Background IP, or in any related Intellectual Property Rights, and your only right with respect to the foregoing are the revocable limited access and use rights that Fusemachines is granting for you in connection with your participation in the Program;
    • Fusemachines, prior to or during the course of this Program, has or may develop tools, concepts, processes, methodologies, and know-how (“Methodologies”). Fusemachines will retain exclusive ownership of all such Methodologies and will be entitled to use any and all Methodologies in connection with the performance of services for other parties;
    • You hereby unconditionally and irrevocably assigns to Fusemachines, your entire right, title, and interest in and to any Intellectual Property Rights that you may now or hereafter have in or relating to the Program, the Platform, the Services, Fuse Content or the Fusemachines Background IP (including any rights in derivative works or patent improvements relating to either of them), whether held or acquired by operation of law, contract, assignment or otherwise; and
    • You agree that Fusemachines may (i) collect and use data and information related to your use of the Platform, the Program, or the Services in an aggregate and anonymized manner, and (ii) disclose such aggregated and anonymized data to its customers, in order to provide and improve the Fusemachines’s products and services.
  8. Limitation of Liability
    • TO THE EXTENT PERMITTED BY APPLICABLE LAW, IT IS EXPRESSLY AGREED THAT (A) FUSEMACHINES’ MAXIMUM LIABILITY FOR ANY DAMAGES OR ANY BREACH OF THESE TERMS OR IN CONNECTION WITH THE PROGRAM OR THE PLATFORM SHALL IN NO EVENT EXCEED AN AMOUNT EQUAL TO $10, AND (B) IN NO EVENT SHALL FUSEMACHINES BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, GOODWILL, REVENUE, DATA OR USE OR INTERRUPTION OF BUSINESS. THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY REGARDLESS OF THE FORM OF LEGAL ACTION, WHETHER IN CONTRACT OR IN TORT, INCLUDING NEGLIGENCE OR RELIANCE, UNDER WHICH SUCH DAMAGES ARE SOUGHT, EVEN IF USER KNOWS OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED FOR HEREIN. THE FOREGOING LIMITATIONS OF LIABILITY ARE CUMULATIVE, WITH ALL EXPENDITURES OF A PARTY BEING AGGREGATED TO DETERMINE SATISFACTION OF FUSEMACHINES’ LIMITATION OF LIABILITY.
    • Fusemachines stipulates that User Content or User operations of the Platform or the Services does not reflect in any manner any endorsement or approval by Fusemachines or the views and opinions of Fusemachines or its affiliates. Fusemachines does not monitor or control User Content and operations on a continual basis. However, Fusemachines will promptly remove any User Content or restrict User operations that Fusemachines discovers and deems to be inappropriate or in breach of these Terms.
    • Fusemachines shall bear no liability in particular for:
      • Users’ use or operations of the Program, Platform or Services that are unlawful or inconsistent with these Terms;
      • Disturbances in accessibility of the Program or Services;
      • Damage suffered by the User arising due to the suspension or closing of the account by the User or for other reasons arising from the User’s fault;
      • Damage suffered by the User as a result of a third party using their data to access the Program, Platform or Services;
      • Damages arising from the use or inability to use the Program, Platform or Services, including actual losses, lost expected benefits, data loss, computer crashes, costs associated with substitute equipment and software, business shutdowns; and
      • Consequences of failure to perform or improper performance of obligations undertaken by other Users.
  9. DISCLAIMERS
    THE SERVICES, PLATFORM, AND ANY APPLICABLE FUSE CONTENT ARE PROVIDED “AS IS.” FUSEMACHINES SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WITHOUT LIMITING THE FOREGOING, FUSEMACHINES MAKES NO WARRANTY OF ANY KIND THAT THE SERVICES, PLATFORM, AND ANY APPLICABLE FUSE CONTENT, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET USER’S OR ANY OTHER PERSONS’ REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ARE FREE OF BIAS, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEMS, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, OR ERROR FREE. FURTHER, ALL OPEN SOURCE COMPONENTS AND OTHER THIRD-PARTY MATERIALS ARE PROVIDED “AS IS” AND ANY REPRESENTATION OR WARRANTY OF OR CONCERNING ANY OF THEM IS STRICTLY BETWEEN USER AND THE THIRD-PARTY OWNER OR DISTRIBUTOR OF SUCH OPEN SOURCE COMPONENTS AND THIRD-PARTY MATERIALS.
    Fusemachines does not endorse the accuracy, legitimacy, legality, or reliability of any Content, including Fusemachines Background IP, advice, opinions, statements, or other information displayed, uploaded, or distributed through the Service by us, our partners, Users, or any other person or entity. You acknowledge that relying on such Content, opinions, advice, statements, or information is at your own risk. Fusemachines is not responsible for the conduct of Users of the Service or the Platform, whether online or offline.
  10. Governing law and dispute resolution
    These Terms and any claim or dispute arising from or related to them, shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of law principles. Any such claim or dispute shall be resolved exclusively through binding arbitration administered by the American Arbitration Association.
  11. Confidentiality
    • As a condition to being provided with any disclosure of or access to Confidential Information, the Receiving Party shall: (a) not access or use Confidential Information other than as necessary to exercise its rights or perform its obligations under and in accordance with the Program or these Terms; (b) except as may be permitted under the terms and conditions of 11(b), not disclose or permit access to Confidential Information other than to its representatives who: (i) need to know such Confidential Information for purposes of the Receiving Party’s exercise of its rights or performance of its obligations under and in accordance with the Program and these Terms; (ii) have been informed of the confidential nature of the Confidential Information and the Receiving Party’s obligations under this Section 11; and (iii) are bound by written confidentiality and restricted use obligations at least as protective of the Confidential Information as the terms set forth in this Section 11; (c) safeguard the Confidential Information from unauthorized use, access or disclosure using at least the degree of care it uses to protect its similarly sensitive information and in no event less than a reasonable degree of care; (d) promptly notify the Disclosing Party of any unauthorized use or disclosure of Confidential Information and use its best efforts to prevent further unauthorized use or disclosure; and (e) ensure its representatives’ compliance with, and be responsible and liable for any of its representatives’ non-compliance with, the terms of this Section 11.
    • If the Receiving Party or any of its Representatives is compelled by applicable law to disclose any Confidential Information then, to the extent permitted by applicable law, the Receiving Party will: (a) promptly, and prior to such disclosure, notify the Disclosing Party in writing of such requirement so that the Disclosing Party can seek a protective order or other remedy or waive its rights under Section 11(a); and (b) provide reasonable assistance to the Disclosing Party, at the Disclosing Party’s sole cost and expense, in opposing such disclosure or seeking a protective order or other limitations on disclosure. If the Disclosing Party waives compliance or, after providing the notice and assistance required under this Section 11(b), the Receiving Party remains required by law to disclose any Confidential Information, the Receiving Party will disclose only that portion of the Confidential Information that the Receiving Party is legally required to disclose and, on the Disclosing Party’s request, will use commercially reasonable efforts to obtain assurances from the applicable court or other presiding authority that such Confidential Information will be afforded confidential treatment.
  12. Indemnity
    User shall indemnify, defend, and hold harmless Fusemachines and its affiliates, and each of its and their respective officers, directors, employees, agents, subcontractors, successors and permitted assigns (each, a “Provider Indemnitee”) from and against any and all losses, expenses, claims, actions, costs, liabilities or damages incurred by the Provider Indemnitee resulting from (a) the breach by User of its representations, warranties or covenants set forth in these Terms, (b) any action by a third party that any User Content infringes or misappropriates such third party’s Intellectual Property Rights, (c) relating to gross negligence or willful misconduct by or on behalf of User with respect or in connection with the Program, Platform or Services, or (d) the use of the Program, Platform or Services by or on behalf of User that is outside the purpose, scope or manner of use authorized by these Terms, or in any manner contrary to Fusemachines’ instructions.
  13. Definition
    • Confidential Information” means information in any form or medium (whether oral, written, electronic or other) that: (a) if disclosed in writing or other tangible form or medium, is marked “confidential” or “proprietary”; or (b) if disclosed orally or in other intangible form or medium, is identified by Discloser or its representative as confidential or proprietary when disclosed and summarized and marked “confidential” or “proprietary” in writing by the Discloser or its representative within ten (10) days after disclosure; or (c) due to the nature of its subject matter or the circumstances surrounding its disclosure, would reasonably be understood to be confidential or proprietary. In connection with these Terms, each Party (as the “Disclosing Party”) may disclose or make available Confidential Information to the other Party (as the “Receiving Party”). For the avoidance of doubt, the Platform, the Services, these Terms and the Fuse Content shall be deemed to be Confidential Information of Fusemachines. Notwithstanding the foregoing, Confidential Information does not include not include information that the Receiving Party can demonstrate by written or other documentary records: (i) was rightfully known to the Receiving Party without restriction on use or disclosure prior to such information being disclosed or made available to the Receiving Party in connection with these Terms or the Program; (ii) was or becomes generally known by the public other than by the Receiving Party’s or any of its representatives’ noncompliance with these Terms; (c) was or is received by the Receiving Party on a non-confidential basis from a third party that, to the Receiving Party’s knowledge, was not or is not, at the time of such receipt, under any obligation to maintain its confidentiality; or (d) the Receiving Party can demonstrate by written or other documentary records was or is independently developed by the Receiving Party without reference to or use of any Confidential Information.
    • Content” means text, graphics, images, music, script, code, software, databases audio, video, works of authorship of any kind, and information or other materials
    • Fusemachines Background IP” means all information and materials (including, without limitation, designs, software tools, programs and associated documentation, methods, processes, algorithms, systems, methodologies, design flows, cell libraries, other Content and Intellectual Property Rights) developed, licensed or acquired by Fusemachines, including, without limitation, the Program, Platform and Services, and all adaptations, modifications, revisions, derivative works, enhancements, improvements and interface elements thereto.
    • Intellectual Property Rights” means any and all present and future registered and unregistered rights granted, applied for, or otherwise now or hereafter in existence under or related to any patent, copyright, trademark, trade secret, database protection, or other intellectual property rights laws, and all similar or equivalent rights or forms of protection, in any part of the world.
    • Party” means either Fusemachines or the User/Student as the context dictates.
  14. General Terms
    • Eligibility:
      By accessing or using the Platform and Services, you affirm that you are at least 18 years old and legally capable in your applicable jurisdiction of understanding and agreeing to these Terms.
    • Acknowledgement:
      These Terms constitutes the entire understanding between you and Fusemachines concerning your use of the Platform and the Services, and it supersedes any prior agreement, statement or representation (whether written or oral). If you do not agree to these Terms, please discontinue use of the Platform and Services immediately.
    • Right to Change Terms:
      Fusemachines reserves the right to modify these Terms at any time without prior notice. Changes are binding upon being posted on the Platform. Your continued use of the Platform or its Content after any modifications constitutes your agreement to the updated Terms. Therefore, we recommend reviewing these Terms periodically for any updates.
    • Force Majeure:
      Fusemachines shall not be liable or deemed to be in default for any delay or failure in performance of the Program or Services resulting directly or indirectly from acts of God, civil or military authority, war, riots, civil disturbances, accidents, fire, earthquakes, flood, strikes, lockouts, labor disturbances, court or governmental order, pandemic, epidemic, or any other cause beyond the reasonable control of Fusemachines.
    • Survival:
      The provisions of Sections 7, 8, 9, 10, 11 and 12 hereof shall survive any expiration or termination of the Program, the Services or these Terms.
Exhibit A
Acceptable Use Policy Attachment
This Acceptable Use Policy (“AUP”) sets forth rules that apply to the use of any of the Platform and the Services by User. Capitalized terms not defined in this AUP have the meanings given in the Terms.
Except as expressly permitted by the Terms, User shall not, and shall not permit any other person or entity to:

  • copy the Fusemachines Background IP, any Fuse Content or any related Intellectual Property Rights (the “Covered Materials”), in whole or in part;
  • modify, correct, adapt, translate, enhance, or otherwise prepare derivative works or improvements of any Covered Material;
  • rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Covered Material to any third party;
  • reverse engineer, disassemble, decompile, decode, or adapt the Covered Material, or otherwise attempt to derive or gain access to the source code of the Covered Material, in whole or in part;
  • bypass or breach any security device or protection used for or contained in the Covered Material;
  • remove, delete, efface, alter, obscure, translate, combine, supplement, or otherwise change any trademarks, terms of the Documentation, warranties, disclaimers, or Intellectual Property Rights, proprietary rights or other symbols, notices, marks, or serial numbers on or relating to any copy of the Covered Material;
  • use the Covered Material in any manner or for any purpose that infringes, misappropriates, or otherwise violates any Intellectual Property Right or other right of any person or entity, or that violates any applicable law;
  • use any Covered Material for purposes of: (i) benchmarking or competitive analysis of such Covered Material; (ii) developing, using, or providing a competing software product or service; or (iii) any other purpose that is to Fusemachines’ detriment or commercial disadvantage;
  • use any Covered Material in or in connection with the design, construction, maintenance, operation, or use of any hazardous environments, systems, or applications, any safety response systems or other safety-critical applications, or any other use or application in which the use or failure of such Covered Material could lead to personal injury or severe physical or property damage; or
  • use any Covered Material other than in any manner or for any purpose or application not expressly permitted by the Terms or the Program.
Fusemachines may monitor compliance with this AUP and investigate any violations. If we determine that you violates this AUP, we may remove or suspend access to the Program, the Platform or Services.
We may report any activity that we suspect violates any law or regulation to law enforcement officials, regulators or other appropriate third parties, and cooperate with them to investigate and prosecute illegal conduct. Our reporting may include disclosing information related to the violation of this AUP.
